Rick is excellent. Whomever you get, ensure they are experienced in your project domain (i.e. start ups) - not just the consultant - the girl or guy writing the contract too. Depending on what it looks like, a review of a shareholder agreement (to see that it works for your start-up) can cost much less than $2 k.
